Brandon O’Connor focuses his practice on all aspects of the business life cycle – from start up to buy/sell events. His clients include local small businesses to national companies spanning across many industries.

Brandon focuses in buying and selling businesses in the various structures available to his clients. He regularly advises clients through asset purchases, stock sales, equity rollups, corporate reorganizations, and employee and familial business successions transactions.

He also serves as outside general counsel to numerous businesses, advising on their everyday legal needs as they arise. He regularly advises businesses on commercial financing, real estate transactions and land development, general contract review and drafting, vendor disputes, corporate (re)structuring, and employment matters.

Representative Matters

  • Represented propane distribution company in two separate asset acquisitions totaling $8.9 million.
  • Represented seller in multi-location childcare center sale for total sales price of $3.29 million.
  • Served as corporate counsel in the creation and financing of an Employee Stock Option Plan.
  • Represented employee in his buy-in to political consulting firm.
  • Closed three buy/sell transactions for home health agencies in 2022.
  • Represented buyer in purchase of Harley-Davidson dealership which included elements of eminent domain, franchise agreements, state agency licensing, and large inventory issues.
  • Represented seller in forced sale of membership interest in LLC which operates a regional brewery. This transaction included intense negotiations over the valuation of membership interest.
  • Represented commercial warehouse developer in the drafting and negotiation of multi-year option and purchase agreements for the rezoning and redevelopment of farm and residential properties for multiple large warehousing complexes.
  • Helped develop (pro bono) a legal clinic where veterans could have free access to business lawyers for entity formation and general business advice.

Trusts & Estates

Brandon is also a part of the firm’s Trust and Estates practice group and provides estate planning and administration services.

His estate planning mentality is to create a comprehensive plan which holistically considers the client’s wishes for the transfer of assets, tax saving opportunities, and the dynamics of each client’s family circumstances.

Brandon also has experience in administering both simple and complex estates. He can provide counsel to families who need assistance navigating the probate process, identifying the assets and liabilities of their loved ones, and guidance regarding the complexities of Pennsylvania’s inheritance tax and the Federal estate tax.

Brandon also serves as counsel to financial institutions and other corporate fiduciaries advising them in their roles as trustee, executor, and agent under power of attorney.

Representative Matters

  • Successfully petitioned for the forfeiture of an absent parent’s right to a minor child’s estate valued at $1.2 million following a hearing and briefs on the Petition.
  • Represents financial institution in its role as trustee of a special needs trust, including court petitions.
  • Secured judgements valued at over $300,00 for a trust beneficiary for the misappropriation of trust funds by trustee.

Personal

Brandon is a Florida native but has called Pennsylvania home since moving to attend law school at the Penn State Dickinson School of Law in Carlisle. Brandon was inducted as a member Dickinson Law’s Woolsack Honor Society, reserved for students graduating in the top 15% of their class.

Brandon currently lives in Moon Township with his wife and two daughters. He enjoys every minute of a hectic weekend with his young family, plays guitar and piano, and is a self-proclaimed home chef.
